PLAIN-ENGLISH SUMMARY (read this first)

Apex Scout is a tool to help you make better decisions in the backcountry. It is not a replacement for your judgment, your preparation, your training, your communication devices (PLB, satellite messenger), or professional rescue services.

We provide conservative recommendations based on the best available data and predictive modeling. Our default posture is to err on the side of caution — if there is doubt, we tell you. You are the ultimate decision-maker based on the totality of the circumstances you find yourself in. Use common sense.

If you encounter a bear and the app says "no wildlife alerts in your area" — trust the bear, not the app.

Apex Scout is a paid subscription service. There is no free tier; new subscriptions begin with a 3-day free trial that converts to paid unless you cancel. Team tracking lets you share your live location with people you connect with — it is a convenience feature, not a rescue system, and you should never rely on it in an emergency. We also create de-identified, aggregated data from activity on the platform, which we may use and sell; you can opt out (see Section 6). We do not sell data that identifies you.

If you read this and disagree with any of it, do not use Apex Scout. By using the app, you agree to these terms.

1. ACCEPTANCE OF TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Apex AR Systems, LLC, a Mississippi limited liability company ("Apex," "we," "us," or "our"), governing your access to and use of the Apex Scout outdoor safety platform, including the iOS Companion application, the apexarsystems.com website, and all related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not access or use the Services.

You represent that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into this agreement
  • You will use the Services in accordance with these Terms and applicable law

2. THE NATURE OF APEX SCOUT — IMPORTANT

The User is the ultimate arbiter of all decisions made while using the Services.

This is the most important provision in these Terms. Read it carefully.

2.1 What Apex Scout Is

Apex Scout is a predictive outdoor safety information platform. It uses environmental data, machine learning models, ground truth reports from other users, and atmospheric forecasts to provide:

  • Wildlife encounter probability assessments
  • Weather and lightning hazard forecasts
  • Trail condition reports
  • Emergency communication assistance
  • Live location sharing among users you connect with ("Team Tracking")
2.2 What Apex Scout Is NOT

Apex Scout is not:

  • A guarantee of safety
  • A substitute for professional rescue services (911, Search and Rescue)
  • A substitute for proper outdoor preparation, training, or experience
  • A substitute for proper safety equipment (Personal Locator Beacons, satellite messengers, first aid supplies, navigation tools)
  • A substitute for your own judgment, your awareness of your surroundings, or your common sense
  • A guarantee that wildlife you cannot see is not present
  • A guarantee that weather will follow predicted patterns
  • A guarantee that trails are passable, safe, or open
  • A guarantee that the live location of a teammate is accurate, current, or available
2.3 Conservative Recommendations Philosophy

Apex Scout is designed to err on the side of caution. When our prediction model is uncertain, we will:

  • Issue an alert rather than withhold one
  • Recommend the more conservative course of action
  • Provide a confidence indicator so you can weigh our certainty
  • Report what we know AND what we don't know

This means you will sometimes receive alerts that, in hindsight, were unnecessary. This is intentional. A false alarm costs you a moment of attention. A missed alert can cost your life.

2.4 You Are the Ultimate Decision-Maker

You are responsible for evaluating the totality of circumstances you find yourself in and making decisions accordingly. Apex Scout informs your decision; it does not make your decision.

This means:

  • If Apex Scout warns of a bear and you see no signs, you may proceed with appropriate caution. You decide.
  • If Apex Scout reports clear conditions and you see storm clouds building, trust your eyes, not the app.
  • If Apex Scout shows a trail as open and you encounter dangerous conditions, turn around regardless.
  • If a teammate's location looks wrong, stale, or missing, do not assume they are safe or where the map shows them.
  • If your gut tells you something is wrong, listen to your gut, not the app.

Use common sense. No app can replace a clear head, situational awareness, and respect for the wilderness.

2.5 Data Limitations

You acknowledge that:

  • GPS may be inaccurate (typical error: 3–15 meters; can be worse in canyons, dense forest, or under cloud cover)
  • Weather forecasts may be incorrect, especially for sudden microclimate events
  • Wildlife predictions are statistical — they cannot guarantee the presence or absence of any animal
  • Trail condition reports may be outdated, inaccurate, or absent
  • Live teammate locations may be delayed, inaccurate, stale, or unavailable, and depend on each person's device, connectivity, and sharing settings
  • Cell and satellite communication may fail due to terrain, weather, or equipment
  • The app may crash, freeze, lose data, or behave unexpectedly
2.6 Geographic Availability of Alerts

Apex Scout's weather and lightning hazard alerts, trail conditions, Emergency Recovery, navigation, and ground-truth reporting operate nationwide across the covered United States (excluding Hawaii at this time).

Apex Scout's wildlife predictive alerts are available only in supported geographic areas. As of the Last Updated date, wildlife predictive alerts are available in Colorado, Wyoming, and Utah, with additional states rolling out over time.

This geographic availability reflects where our wildlife prediction models are active. It is not a function of your subscription tier — no subscription level "unlocks" wildlife alerts in a state where they are not yet offered.

The absence of a wildlife alert never means an area is free of wildlife. In areas where wildlife predictive alerts are not yet available, and in covered areas where no alert is currently active, you must remain vigilant. Wildlife may be present anywhere. Trust your observations and your judgment over the absence of an alert.

3. LICENSE TO USE THE SERVICES

3.1 Grant of License

Subject to your compliance with these Terms and maintenance of an active subscription, Apex grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

  • Download and install the Apex Scout Companion application on iOS devices you own or control
  • Access the Services through the apexarsystems.com website
  • Use the Services for your personal, non-commercial outdoor safety purposes
3.2 Restrictions

You may not:

  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Services
  • Modify, adapt, translate, or create derivative works of the Services
  • Rent, lease, lend, sell, redistribute, sublicense, or transfer access to the Services
  • Use the Services for any commercial purpose without prior written consent from Apex
  • Scrape, crawl, or extract data from the Services using automated means
  • Use the Services to develop, train, or improve any competing product or artificial intelligence model
  • Bypass, disable, or circumvent any security or access control measures
  • Use the Services in any manner that could damage, disable, overburden, or impair our servers or networks
  • Submit false ground truth reports designed to mislead other users
  • Impersonate another user or misrepresent your identity
  • Use Team Tracking or any location feature to stalk, harass, surveil, or locate any person without their ongoing, informed consent
  • Share your account credentials, authentication token, or activation code with others
  • Use the Services to violate any applicable law, regulation, or third-party right
3.3 Reservation of Rights

All rights not expressly granted to you in these Terms are reserved by Apex AR Systems, LLC. The Services and all associated intellectual property — including software, models, algorithms, designs, trademarks, and patents — are owned by Apex or its licensors.

The Apex Scout platform is protected by U.S. Provisional Patent Application No. 63/976,896.

4. SUBSCRIPTIONS AND PAYMENTS

4.1 Subscription Required; No Free Tier

Apex Scout is a paid subscription service. Except during any limited, invitation-only beta period that Apex may designate, an active paid subscription is required to access and use the Services. There is no free tier and no free version of the Services. Without an active subscription, you will be able to view the App Store listing but will not have access to the Services.

Any beta access previously or currently provided is temporary, provided at Apex's discretion, and does not entitle you to continued access without a paid subscription.

4.2 Subscription Tiers

Apex Scout offers three subscription tiers, available nationwide at a single price set (there is no regional pricing):

Subscription tiers differ in capacity and convenience features only — for example, the number of emergency contacts and the number of people you can connect with for Team Tracking, the extent of offline map downloads, waypoint and saved-track limits, track export, and sharing options. Subscription tiers do not differ in safety (see Section 4.7).

The dollar amounts above are current as of the Last Updated date. Current pricing and the specific features and capacity limits included in each tier are displayed at the point of subscription within the application and may be adjusted over time.

4.3 Auto-Renewable Subscriptions; Apple In-App Purchase

Apex Scout subscriptions are auto-renewable subscriptions offered and processed exclusively through Apple's In-App Purchase system within the iOS application. The apexarsystems.com website displays pricing for informational purposes only and does not collect payment. The following terms apply to all subscriptions:

  • Subscription titles and lengths. Each tier (Essential, Premium, Pro) is offered as a monthly subscription (one-month term) and an annual subscription (one-year term).
  • Price. The applicable recurring price is the price for your selected tier and term shown on the purchase screen within the app at the time of purchase (see the table in Section 4.2 for current pricing). Prices are stated in U.S. dollars and may vary by region as set by Apple.
  • Payment. Payment is charged to your Apple ID account upon confirmation of purchase.
  • Automatic renewal. Your subscription automatically renews for the same term at the then-current price unless you cancel it at least 24 hours before the end of the current period. Your Apple ID account is charged for renewal within 24 hours prior to the end of the current period.
  • Managing and canceling. You can manage or cancel your subscription, or turn off automatic renewal, at any time in your Apple ID account settings (Settings → your name → Subscriptions). Cancellation takes effect at the end of the current paid period.
  • Refunds. Refunds are handled by Apple (see Section 4.6).
4.4 Free Trial

New subscribers are offered a 3-day free trial at the start of a new subscription. The following terms apply:

  • The free trial is available on all tiers (Essential, Premium, and Pro) and on both the monthly and annual terms, as offered on the purchase screen.
  • The free trial lasts 3 days from the start of the subscription. Unless you cancel at least 24 hours before the trial ends, your subscription will automatically convert to a paid subscription at the price shown for your selected tier and term, and your Apple ID account will be charged.
  • You can cancel during the trial at any time in your Apple ID account settings (Settings → your name → Subscriptions). If you cancel before the trial ends, you will not be charged.
  • Any unused portion of a free trial is forfeited when you purchase a subscription, where applicable.
  • Free trial eligibility is determined by Apple and may be limited to new subscribers.
4.5 Renewal, Lapse, and Grace Period

If a subscription renewal payment fails (for example, due to an expired card), Apple may provide a billing grace period during which your access continues while Apple attempts to collect payment. If your subscription lapses or you cancel, your access to the Services — including all live data, alerts, and Team Tracking — ends at the close of your paid period (or at the end of any applicable grace period). We do not provide live data to, or accept it from, a device without an active subscription.

4.6 Refunds

Refund requests are handled by Apple in accordance with their refund policy. Apex AR Systems does not directly process refunds for subscription fees.

4.7 Safety Features Are Not Gated

All safety-critical functionality is included in every subscription tier. This includes the full predictive model and all alert levels, weather and lightning hazard alerts, trail hazard alerts, wildlife predictive alerts where geographically available (see Section 2.6), Emergency Recovery, and the same real-time alert delivery speed across all tiers.

No tier receives faster, earlier, or more complete safety alerts than any other. Paid tiers add capacity and convenience only; they never add, accelerate, or expand safety alerts.

5. TEAM TRACKING (LIVE LOCATION SHARING)

5.1 What Team Tracking Is

Team Tracking lets you and another adult user mutually share your live location with each other after you each opt in. Connections are formed by invitation: one user generates a share code, and the other redeems it. When a connection is formed, each of you can see the other's shared location, and a connection occupies one connection "slot" for each of you.

The number of people you may be connected to at one time is set by your subscription tier (for example, Essential, Premium, and Pro permit different numbers of connections). When you reach your limit, you must remove an existing connection before adding a new one. Team Tracking requires an active paid subscription.

5.2 Consent and Control

Team Tracking is consensual and revocable. You choose whether to share your location, with whom, and for how long. You may stop sharing at any time; when you stop sharing, your last shared location is removed from other users' views. A shared location is provided to your connections only while you are actively sharing, your subscription is active, and your location fix is recent.

5.3 Team Tracking Is Not an Emergency or Rescue Tool

Team Tracking is a convenience and awareness feature. It is NOT an emergency, safety, or rescue system, and you must not rely on it as one. A teammate's location may be delayed, inaccurate, stale, frozen, or entirely unavailable for many reasons, including loss of signal, a dead battery, a closed app, a lapsed subscription, or a teammate who has stopped sharing. The fact that a teammate appears at a location on the map does not mean they are there, are safe, or can be reached. For emergencies, use the means described in Section 7.

5.4 Responsible Use

You are solely responsible for whom you connect with and for your own conduct using Team Tracking. You may not use Team Tracking, or any location feature of the Services, to stalk, harass, surveil, monitor, or locate any person without their ongoing, informed consent. Apex is not responsible for how any user uses location shared with them, and we may suspend or terminate accounts that misuse location features.

5.5 Adults Only

Team Tracking, like all of the Services, is for users 18 years of age or older. You may not share the location of, or form a connection with, a minor through the Services.

6. YOUR DATA, OUR DATA, AND DATA WE SELL

This Section governs the rights to data. Our collection, use, sharing, retention, and protection of personal information — and your privacy choices, including the opt-out described below — are detailed in our Privacy Policy, which is incorporated into these Terms by reference.

6.1 Your Content

As between you and Apex, you retain ownership of the content you create and submit, such as ground truth reports, photos, waypoints, and tracks ("User Content"). You grant Apex a perpetual, worldwide, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, adapt, publish, and display your User Content for the purposes of operating, securing, improving, and promoting the Services, and as otherwise described in our Privacy Policy.

6.2 Data We Generate; Sole Ownership of De-Identified and Aggregated Data

Apex collects and stores data generated through your use of the Services, including location, movement, environmental, usage, and device data. We may use this data internally for any lawful purpose, including operating, securing, analyzing, and improving the Services and our models.

Apex solely and exclusively owns all De-Identified Data, Aggregated Data, and Derived Data, and all associated intellectual property. As used here:

  • De-Identified Data means data that has been processed so that it cannot reasonably be used, alone or in combination, to identify, or be linked to, a particular individual.
  • Aggregated Data means data combined across multiple users or sessions and expressed at a group or population level (for example, how many people passed through a given area during a given period).
  • Derived Data means insights, statistics, models, and outputs we create from the foregoing.
6.3 Commercial Use and Sale of De-Identified and Aggregated Data

You acknowledge and agree that Apex may use, disclose, license, share, and sell De-Identified Data, Aggregated Data, and Derived Data to third parties for any lawful purpose, including modeling, research, testing, product development, marketing, and analytics — for example, insights about overall human presence, movement, and activity patterns in the outdoors. We will not include your name, email address, phone number, account identifier, or other information that directly identifies you in data we sell or license to third parties.

We commit not to attempt to re-identify De-Identified Data, and we contractually require recipients not to re-identify it.

6.4 Your Opt-Out

By default, data generated through your use of the Services contributes to the De-Identified Data and Aggregated Data sets described above, including those we share with or sell to third parties — unless you opt out. You may opt out at any time through the in-app privacy settings or by emailing privacy@apexarsystems.com, and you may continue to use the Services after opting out. Opting out stops your future contribution to those third-party data sets; it does not require us to recall data already shared in de-identified or aggregated form, and it does not limit our internal use of data to operate and improve the Services. Residents of states that provide a statutory right to opt out of the "sale" or "sharing" of personal information may also exercise that right as described in our Privacy Policy.

6.5 Ground Truth Reports and Photos

When you submit a ground truth report (wildlife sighting, weather observation, trail condition), you represent that it is accurate to the best of your knowledge, and you acknowledge that it may be aggregated with reports from other users to refine prediction models and may be shown to other users in anonymized form. If you attach photos to a report, you grant Apex the license described in Section 6.1; we will not use your photos for external marketing or publication without your prior consent.

6.6 Right to Remove

Apex reserves the right to remove any User Content that we determine, in our sole discretion, violates these Terms, applicable law, or the rights of others — including content that is fraudulent, defamatory, harassing, or designed to mislead other users about safety conditions.

7. EMERGENCY FEATURES

7.1 Recovery Point and Emergency Notification

Apex Scout includes features to help you in emergency situations, including:

  • Recovery Point capture (your trip start location)
  • Emergency notification to designated contacts (via SMS and email)

These features are NOT a substitute for:

  • Personal Locator Beacons (PLBs)
  • Satellite communicators (Garmin inReach, Apple Emergency SOS via satellite, etc.)
  • Calling 911 when cellular service is available
  • Filing a trip plan with a trusted person before you depart
7.2 Your Responsibility for Emergency Contacts and Consent

You alone choose the emergency contacts and teammates you add to the Services. You represent and warrant that you have each such person's permission to provide their name, phone number, and email address to Apex, and to have them receive SMS and email messages from or through the Services. SMS messages are delivered through a third-party provider (Twilio) and are subject to telecommunications laws and carrier requirements, including consent and opt-out requirements. Any recipient may opt out of further messages at any time by replying STOP, and we will honor such requests. You are responsible for any consequences of adding a contact without their permission.

7.3 No Guaranteed Delivery

We use commercially reasonable efforts to deliver emergency notifications. However, we do not and cannot guarantee that:

  • Notifications will be delivered to recipients
  • Recipients will see, understand, or act on notifications
  • SMS or email service providers will function correctly
  • Cellular or satellite networks will be available in your location
7.4 No Direct 911 Integration

Apex Scout does NOT contact emergency services on your behalf. It notifies the contacts you designate. If you require professional rescue, you must contact 911, use a Personal Locator Beacon, or use a satellite communicator's SOS function.

8. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, APEX AR SYSTEMS, LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE
  • IMPLIED WARRANTIES OF NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • WARRANTIES THAT ALERTS WILL BE ACCURATE, TIMELY, OR COMPLETE
  • WARRANTIES THAT WILDLIFE PREDICTIONS, WEATHER FORECASTS, OR TRAIL CONDITIONS REFLECT ACTUAL CONDITIONS
  • WARRANTIES THAT LIVE TEAMMATE LOCATIONS ARE ACCURATE, CURRENT, OR AVAILABLE
  • WARRANTIES THAT EMERGENCY NOTIFICATIONS WILL BE DELIVERED OR ACTED UPON

Plain English: This is a tool. Tools break. Tools have limits. We do our best to make Apex Scout reliable and accurate, but we make no promises about what it will do for you or what it will protect you from.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL APEX AR SYSTEMS, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, use, goodwill, or other intangible losses
  • Damages arising from your use of or inability to use the Services
  • Damages arising from any conduct or content of any third party, including any user with whom you share location
  • Damages arising from unauthorized access to or alteration of your data
  • Personal injury, illness, or death arising from your outdoor activities, regardless of whether such activities were undertaken in reliance on the Services

APEX AR SYSTEMS' TOTAL CUMULATIVE LIABILITY for any and all claims arising out of or related to your use of the Services shall not exceed the greater of (a) the amount you have paid Apex in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

Plain English: If something goes wrong because of Apex Scout — even something terrible — our financial responsibility is capped. This is standard for software, but it's especially important for safety-related software, because we cannot assume responsibility for the outcomes of your decisions in the wilderness. Buy insurance. Carry a PLB. Trust your judgment.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Apex AR Systems, LLC, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party right, including intellectual property or privacy rights
  • Your user-generated content (ground truth reports, photos, shared snapshots)
  • Your designation of emergency contacts or teammates without their permission, or your misuse of any location feature
  • Any harm caused to yourself or others by your decisions or actions in the backcountry, regardless of whether those decisions were informed by the Services

11. ASSUMPTION OF RISK

You acknowledge and agree that outdoor activities in the backcountry — including but not limited to hiking, trail running, mountain biking, hunting, fishing, backcountry skiing, and overland travel — involve inherent risks that may result in serious injury, illness, or death.

These risks include, without limitation:

  • Wildlife encounters (predators, large mammals, venomous animals, insects)
  • Weather hazards (lightning, hypothermia, heat stroke, flash floods, avalanches, sudden storms)
  • Terrain hazards (falls, exposure, drowning, getting lost)
  • Equipment failure
  • Medical emergencies (cardiac events, altitude sickness, dehydration, trauma)
  • Communication failures
  • Other users or persons in the backcountry

You voluntarily assume all such risks when you engage in outdoor activities, whether or not you are using Apex Scout. The Services do not eliminate these risks. Apex Scout is one tool among many you should use to mitigate risk; it is not a comprehensive safety system.

12. TERMINATION

12.1 Termination by You

You may terminate your account at any time using the in-app account deletion option (Settings → Account → Delete Account) or by emailing support@apexarsystems.com. Termination will result in deletion of your account data in accordance with our Privacy Policy.

12.2 Termination by Apex

Apex may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Submission of false ground truth reports
  • Misuse of location features
  • Non-payment of subscription fees
  • Discontinuation of the Services

12.3 Effect of Termination

Upon termination:

  • Your license to use the Services ends immediately
  • Apex may delete your account data after the retention periods described in our Privacy Policy
  • Sections of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, data ownership, and dispute resolution) will continue to apply

13. MODIFICATIONS TO THE SERVICES AND TERMS

13.1 Changes to the Services

Apex reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation.

13.2 Changes to These Terms

We may update these Terms from time to time. When we do, we will:

  • Update the "Last Updated" date at the top of these Terms
  • Notify you in-app for material changes
  • Email you for material changes affecting your account

Your continued use of the Services after any change constitutes acceptance of the updated Terms.

14. GOVERNING LAW AND DISPUTE RESOLUTION

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Mississippi, USA, without regard to its conflict of laws principles.

14.2 Informal Resolution

Before filing any claim against Apex, you agree to attempt informal resolution by emailing legal@apexarsystems.com with a description of the dispute and your contact information. Apex will respond within 30 days. The parties agree to attempt good-faith resolution before initiating formal proceedings.

14.3 Binding Arbitration

If informal resolution does not succeed, all disputes arising out of or related to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Lafayette County, Mississippi, in the English language. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

14.4 Class Action Waiver

YOU AGREE THAT ALL DISPUTES SHALL BE RESOLVED INDIVIDUALLY AND NOT AS PART OF A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action or class-wide arbitration.

14.5 Exceptions

Notwithstanding Sections 14.3 and 14.4:

  • Either party may seek injunctive or other equitable relief in court for intellectual property violations
  • Either party may bring claims in small claims court if eligible
  • Where prohibited by applicable law, the arbitration and class waiver provisions do not apply

15. GENERAL PROVISIONS

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any beta participation agreement, constitute the entire agreement between you and Apex regarding the Services and supersede all prior agreements, communications, and proposals.

15.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. Apex may assign these Terms freely.

15.5 Notices

We may provide notices to you via email, in-app message, or posting on the Services. You may provide notices to us at legal@apexarsystems.com.

15.6 Force Majeure

Apex is not liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, government action, network failures, or service provider outages.
